End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and QuadBuzz LLC ("Company," "we," "our," or "us"), and not with Apple Inc. ("Apple") or Google LLC. QuadBuzz LLC, not Apple, is solely responsible for the InsiderPopup mobile application (the "App") and the content thereof. This Agreement governs your use of the App made available through the Apple App Store and Google Play Store.

By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the App.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any compatible device that you own or control, strictly in accordance with this Agreement and the applicable app store's usage rules.

You may not:

• Distribute or make the App available over a network where it could be used by multiple devices simultaneously.
• Transfer, redistribute, or sublicense the App to any third party.
• Copy, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the App.
• Remove, alter, or obscure any proprietary notices in the App.

2. Subscription Services

InsiderPopup offers auto-renewable subscription plans that provide access to premium features, including but not limited to real-time insider trading alerts, congressional trade notifications, SEC filing alerts, and enhanced financial data.

2.1 Subscription Plans

• Entry — Access to all insider trades across the market. Includes a 14-day introductory free trial. $2.99/month or $29.99/year.
• Essential — All insider trades, stock news across the market, watchlist for up to 10 stocks, feed search, and push notifications from your watchlist. $7.99/month or $79.99/year.
• Expert — All Essential features plus congressional trade disclosures, watchlist for up to 25 stocks and 15 Congress members, custom feed filters, and push notifications from your watchlist. $14.99/month or $149.99/year.
• Pro — Full access to all features including all SEC filings (10-K, 10-Q, 8-K), watchlist for up to 50 stocks and 25 Congress members, custom feed filters, and push notifications from your watchlist. $19.99/month or $179.99/year.

2.2 Billing and Renewal

Subscriptions are billed on a recurring basis. Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period.

2.3 Cancellation

You may cancel your subscription at any time through your device's app store subscription settings. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial billing periods.

• The information provided through the App should not be construed as a recommendation to buy, sell, or hold any security.
• You are solely responsible for your own investment decisions and should consult with a qualified financial advisor before making any investment or trading decisions.
• QuadBuzz LLC is not a registered investment advisor, broker-dealer, or financial planner.
• Past trading activity does not guarantee future results.
• Any reliance on the information provided by the App is at your own risk.

4. Data Accuracy Disclaimer

• Data is sourced from publicly available regulatory filings and third-party providers. QuadBuzz LLC does not independently verify all data.
• Data may contain errors, omissions, or delays due to technical issues or upstream data source errors.
• It is your responsibility to independently verify any information before acting upon it.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. We reserve the right to suspend or terminate your account if we believe you have violated any provision of this Agreement.

6. Data Collection and Privacy

Your use of the App is governed by our Privacy Policy, available at https://insiderpopup.com/api/legal/privacy. By using the App, you consent to the collection and use of your information as described in our Privacy Policy.

7. Intellectual Property

The App, including its design, graphics, interface, code, and content, is owned by QuadBuzz LLC and protected by applicable intellectual property laws. This Agreement does not grant you any ownership rights in the App.

8. Third-Party Services

The App may enable access to third-party services and data sources. QuadBuzz LLC is not responsible for the accuracy of any third-party content and shall not be liable for any third-party content.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. QUADBUZZ LLC HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

10. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL QUADBUZZ LLC BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. IN NO EVENT SHALL QUADBUZZ LLC'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless QuadBuzz LLC from and against any claims, damages, losses, and expenses arising out of your use of the App or your violation of this Agreement.

12. Export Compliance

You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained.

13. Termination

Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Termination does not entitle you to a refund of any subscription fees already paid.

14. App Store Minimum Terms

• Maintenance and Support: QuadBuzz LLC is solely responsible for providing maintenance and support. Apple has no obligation to furnish any maintenance and support services with respect to the App.
• Warranty: In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. Apple will have no other warranty obligation with respect to the App.
• Product Claims: QuadBuzz LLC, not Apple, is responsible for addressing any claims relating to the App, including product liability claims and claims that the App fails to conform to any applicable legal requirement.
• Legal Compliance: You represent that you are not located in an embargoed country and are not on any U.S. Government list of prohibited parties.
• Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement and have the right to enforce this Agreement against you.

15. Changes to This Agreement

QuadBuzz LLC reserves the right to modify this Agreement at any time. Your continued use of the App following the posting of changes constitutes your acceptance of those changes.

16. Governing Law

This Agreement shall be governed by the laws of the State of Wisconsin, United States. Any disputes shall be resolved in the state or federal courts located in Outagamie County, Wisconsin.

17. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and QuadBuzz LLC regarding the use of the App.
